1. Introduction

Business Seller is an online marketplace platform that connects business sellers with potential buyers across Saudi Arabia. These Terms & Conditions govern your access to and use of the platform as a buyer, seller, or marketplace participant.

By creating an account or using the platform, you agree to these Terms. If you do not agree, please do not use Business Seller.

2. Eligibility

You must provide accurate, current, and complete information when using the platform. You confirm that you have the legal authority to act on behalf of yourself and, where applicable, the business you represent.

You must be of legal age to enter into a binding agreement under applicable Saudi law.

3. Account Registration

You are responsible for keeping your login details secure and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use.

Buyer and seller accounts may carry different permissions, features, and responsibilities on the platform.

4. Buyer Responsibilities

Buyers must use the platform honestly and in good faith, must not misuse confidential information, and must understand that listings are provided for evaluation purposes only.

Buyers are responsible for conducting their own due diligence before entering into any transaction.

5. Seller Responsibilities

Sellers must provide accurate and complete business information, including financials and ownership details, and must have the authority to sell or represent the business listed.

Sellers are responsible for the accuracy of all information they submit and for keeping it up to date.

6. Listings

Business Seller may review, edit, reject, suspend, or remove any listing that is inaccurate, misleading, incomplete, inappropriate, or that otherwise violates these Terms, at its sole discretion.

7. Confidentiality & NDA Requests

Confidential business information may only be shared after review and/or approval through the platform's workflows, which may include a non-disclosure agreement (NDA).

Buyers must not share, copy, or use confidential information outside the intended transaction process, and must keep it strictly private.

8. Business Seller Intelligence™ Reports

Business Seller Intelligence™ reports are AI-assisted estimates generated from available listing data and market assumptions. They are not legal, financial, tax, accounting, or investment advice.

You should independently verify all information and seek professional advice before relying on any report or making any decision.

9. Payments & Fees

• AI reports may carry fixed fees, for example 49 SAR, 199 SAR, or 499 SAR.
• Premium listing packages may carry fees.
• Business Seller may charge a success fee when a transaction closes through the platform.
• Fees and payment terms may be updated from time to time, with notice where required.

10. No Guarantee of Deal Completion

Business Seller does not guarantee that any business will sell, that any buyer will complete a purchase, or that valuation estimates will match the final sale price. The platform facilitates connections; it is not a party to transactions between buyers and sellers.

11. User Conduct

You agree not to engage in fraud, spam, false or misleading listings, fake buyer inquiries, scraping, misuse of data, impersonation, or any activity that harms the platform, its users, or third parties.

12. Third-Party Services

The platform may rely on third-party services including payment providers, verification services, analytics, hosting, and communication tools. Your use of those services may be subject to their own terms.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Business Seller and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the platform.

The platform is provided on an “as is” and “as available” basis without warranties of any kind, to the extent permitted by law.

14. Account Suspension

Business Seller may suspend or terminate accounts that violate these Terms, that pose a risk to other users, or as otherwise required to protect the platform.

15. Changes to Terms

These Terms may be updated from time to time. When changes are material, you may be required to review and accept the updated Terms to continue using the platform.
